PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, AND OBLIGATIONS TO COMPLY WITH APPLICABLE LAWS AND REGULATIONS.

By accessing, connecting to and utilising the services at www.giveadinnerparty.com, its sub-domains (such as www.giveadinnerparty.co.uk) and/ or its mobile apps (hereinafter, “GADP”, “Services”, or “Website”), you acknowledge that you have read and understood the following Terms and Conditions, including the Privacy Policy terms (collectively, the “Terms”) and you agree to be bound by them and to comply with all applicable laws and regulations regarding your conduct on GADP. IF YOU DO NOT AGREE TO ANY OF THE TERMS, DO NOT CONNECT TO, ACCESS OR USE GADP IN ANY MANNER. The Terms may be revised and updated from time to time, with or without any notice. GADP shall make reasonable efforts to post a prominent notice in case the Terms change substantially.

Our collection and use of personal information in connection with your access to and use of GADP is described in our Privacy Policy.

 

1. Acceptance of the Terms and Conditions

1.1 The Website and Services comprise an online platform through which users may create offline real-world Events as Hosts, and Guests may learn about and book tickets to the Events directly with the Hosts. You understand and agree that GADP is not a party to any agreements entered into between users, nor is GADP a booking agent, insurer or food vendor. GADP has no control over the conduct of Hosts, Guests and other Users of the Website and Services or any Events, and disclaims all liability in this regard to the maximum extent permitted by law.

1.2 If you create an Event on GADP, you understand and agree that your relations with GADP is limited to being a Member and an independent party, and not an employee, joint venturer, agent, or partner of GADP for any reason, and you act exclusively on your own behalf and for your own benefit, and not on behalf of or for the benefit of GADP. GADP does not, and shall not be deemed to, direct or control you generally in your performance under these Terms specifically, including in connection with your provision of your Event, your offline activities associated with your Event, or any other matters related to any Event, that you provide. As a Member you agree not to do anything to create a false impression that you are endorsed by, partnering with, or acting on behalf of or for the benefit of GADP, including by inappropriately using any GADP trademark or branding.

 

2. Modification of Terms

GADP reserves the right, at its sole discretion, to modify the Website or Services or to modify these Terms, including the Booking Fees, at any time and without prior notice. We will either post the modification on the Website or otherwise provide you with notice of the modification, if there are changes to the Terms. We will also update the “Last Updated” at the beginning of these Terms. By continuing to access or use the Website or Services after we have posted a modification on the Website or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Website and Services.

 

3. Eligibility

3.1 The Website and Services are intended solely for persons who are 18 years or older. If you are under 18 years of age you may not use the Website and Services on behalf of yourself or any other person or entity, and you must not provide GADP with any of your personal details. By accessing or using the Website or Services you represent and warrant that you are 18 years or older.

3.2 GADP may make access to and use of the Website and Services, or certain areas or features of the Website, subject to certain conditions or requirements, such as completing a verification process or meeting specific quality or eligibility criteria.

 

4. Scope of GADP Services

4.1 The Website and Services can be used to facilitate the listing and booking of food events, but not restricted and not limited only to food-specific events (“Events”). GADP is designed to enable Users to offer their food and beverage and accessible facilities (such as their home, village hall or such like) as hosts (“Host/s”) and allowing other Users to participate in Events of such Hosts as guests (“Guest/s”). You may view the Events as an unregistered visitor to the Website and Services; however, if you wish to book an Event or create an Event Listing, you must first register to create a GADP Account (defined below).

4.2 GADP is an online platform to help re-build the community by providing, through related technology, for Members to connect online and arrange for bookings of or participate in offline Events directly with each other. GADP is not an owner or operator of events or restaurants, nor is it a provider of food and beverage, and GADP does not own, sell, resell, provide and/ or manage the provision of food and beverage or events. Unless explicitly specified otherwise in the GADP platform, GADP’s responsibilities are limited to facilitating the availability of the Website and Services.

4.3 GADP cannot and does not control the content contained in any listings and the accuracy, safety, legality or suitability of any Events or food and beverage descriptions. GADP is not responsible for and disclaims any and all liability related to any and all listings, Events and/ or food and beverage descriptions. Accordingly, any bookings will be made or accepted at the Member’s own risk.

4.4 While we may help facilitate the resolution of disputes, GADP has no control over and does not guarantee (i) the existence, quality, safety, suitability, or legality of any Events, (ii) the truth or accuracy of any Event descriptions, Ratings, Reviews, or other Member Content, or (iii) the performance or conduct of any Member or third party. GADP does not endorse any Member or Host Event(s).

4.5 To promote GADP and to increase the exposure of Event(s) to potential Guests, Events and other Member Content may be displayed on other websites, in applications, within emails, and in online and offline advertisements in accordance with Section 7.

4.6 GADP may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services may be subject to different terms and conditions and privacy practices. GADP is not responsible or liable for the availability or accuracy of such Third-Party Services, or the content, products, or services available from such Third-Party Services. Links to such Third-Party Services are not an endorsement by GADP of such Third-Party Services.

4.7 Some areas of the Website and Services implement Google Maps/Earth mapping services, including Google Maps API(s). Your use of Google Maps/Earth is subject to the Google Maps/Google Earth Additional Terms of Service.

4.8 GADP is not responsible for outages or disruptions of the Internet and telecommunications infrastructure which are beyond our control and can lead to interruptions in the availability of GADP. GADP may, temporarily and under consideration of the Members’ legitimate interests (e.g. by providing prior notice), restrict the availability of the Website or certain areas or features thereof, if this is necessary in view of capacity limits, the security or integrity of our servers, or to carry out maintenance measures that ensure the proper or improved functioning of the Website. Section 17 (Liability) remains unaffected. GADP may improve, enhance and modify the Website and introduce new Services from time to time. GADP will provide notice to Members of any changes to the Services, unless such changes are of minor nature without having a material effect on the parties’ contractual obligations.

 

5. Account Registration

5.1 GADP has no control over the conduct of any Hosts, Guests or any other User and disclaims all liability relating to this regard. Users are recommended to carefully and thoroughly examine and check with their respective Guests and Hosts all necessary details related to their Event(s) and Booking(s) prior to attending any Event.

5.2 In order to access and use certain features of the Website and its Services, such as to book or create an Event(s), you must register to create an account (“GADP Account”) and become a Member. You may register to join the Services directly via the Website or as described in this section. If you are registering a GADP Account for a business, organisation or other legal entity, you represent and warrant that you have the authority to legally bind that entity and grant us all permissions and licenses provided in these Terms.

5.3 GADP does not pre-screen users and makes no attempt to confirm, and does not confirm, Users’ identity. GADP does not investigate any User’s reputation, conduct, morality, criminal background or verify the information that any user submits to the Website. We do not endorse any persons who use or register for the Services, whether as Guests or Hosts, or any Events listed on the Website. You are responsible for determining the identity and suitability of others whom you may contact or who may contact you by means of the Website. You agree to exercise caution and good judgment in all interactions with other Users. GADP encourages you to review your Hosts’ profile pages and read reviews and feedback from other Users. You may also wish to consider using a third-party service that provides additional user verification.

5.4 You can register a GADP Account using an email address and creating a password, or through your account with certain third-party social networking services, including, but not limited to, Facebook (“SNS Account”). You have the ability to disable the connection between your GADP Account and your SNS Account at any time, by accessing the “Settings” section of the Website.

5.5 You may not have more than one (1) active GADP Account. You may not assign or otherwise transfer your GADP Account to another party. You agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete. GADP reserves the right to suspend or terminate your GADP Account and your access to the Website and Services if you create more than one (1) GADP Account, or if any information provided during the registration process or thereafter proves to be inaccurate, fraudulent, not current or incomplete.

5.6 You are responsible for maintaining the confidentiality and security of your GADP Account credentials and may not disclose your credentials to any third party. You must immediately notify GADP if you know or have any reason to suspect that your credentials have been lost, stolen, misappropriated, or otherwise compromised or in case of any actual or suspected unauthorized use of your GADP Account. You are liable for any and all activities conducted through your GADP Account, unless such activities are not authorised by you and you are not otherwise negligent (such as failing to report the unauthorised use or loss of your credentials).

 

6. No Endorsement

6.1 Any references in the Website or Services to a Member being “verified” (or similar language) only indicate that the Member has completed a relevant verification process, and does not represent anything else. User verification on the Internet is difficult and we do not assume any responsibility for the confirmation of any Member’s identity. Any such description is not an endorsement, certification or guarantee by GADP about any Member, including of the Member’s identity and whether the Member is trustworthy, safe or suitable. Instead, any such description is intended to be useful information for you to evaluate when you make your own decisions about the identity and suitability of others whom you contact or interact with via the Website or Services. You should always exercise due diligence and care when deciding whether to participate in an Event, accept a booking request from a Guest, or communicate and interact with other Members, whether online or in person.

6.2 By using the Website or Services, you agree that any legal remedy or liability that you seek to obtain for actions or omissions of other Members or other third parties will be limited to a claim against the particular Members or other third parties who caused you harm. You agree not to attempt to impose liability on or seek any legal remedy from GADP with respect to such actions or omissions. Accordingly, we encourage you to communicate directly with other Members on the Website and Services regarding any bookings or Event Listing made by you. This limitation shall not apply to any claim by a Host against GADP regarding the remittance of payments received from a Guest by GADP on behalf of a Host, which instead shall be subject to the limitations described in the section below entitled “Limitation of Liability”.

 

7. Member Content

7.1 GADP may enable Members to (i) create, upload, post, send, receive and store content, such as text, photos, audio or other materials and information on or through the Website and its Services (“Member Content”); and (ii) access and view Member Content and any content that GADP itself makes available on or through the Website and Services, including proprietary GADP content and any content licensed or authorised for use by or through GADP from a third party (“GADP Content” and together with Member Content, “Collective Content”).

7.2 The GADP Website and Services, GADP Content, and Member Content may in its entirety or in part be protected by copyright, trademark, and/or other laws of the United Kingdom. You acknowledge and agree that the Website and its Services and GADP Content, including all associated intellectual property rights, are the exclusive property of GADP and/or its licensors or authorising third-parties. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Website and Services, GADP Content or Member Content. All trademarks, service marks, logos, trade names, and any other source identifiers of GADP used on or in connection with the Website and its Services and GADP Content are trademarks or registered trademarks of GADP in the United Kingdom and abroad. Trademarks, service marks, logos, trade names and any other proprietary designations of third parties used on or in connection with the GADP Website and Services, GADP Content, and/or Collective Content are used for identification purposes only and may be the property of their respective owners.

7.3 You will not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the GADP Website and Services or Collective Content, except to the extent you are the legal owner of certain Member Content or as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by GADP or its licensors, except for the licenses and rights expressly granted in these Terms.

7.5 By uploading, posting or otherwise making available any Member Content on or through the GADP Website and Services, you grant to GADP a non-exclusive, worldwide, royalty-free, irrevocable, perpetual (or for the term of the protection), sub-licensable and transferable license to such Member Content to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit in any manner such Member Content to provide and/or promote the GADP Website and Services, in any media or platform. Insofar as Member Content includes personal information, such Member Content will only be used for these purposes if such use complies with applicable data protection laws in accordance with our Privacy Policy. Unless you provide specific consent, GADP does not claim any ownership rights in any Member Content and nothing in these Terms will be deemed to restrict any rights that you may have to use or exploit your Member Content.

7.6 You are solely responsible for all Member Content that you make available on or through the GADP Website and Services. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all Member Content that you make available on or through the GADP Website and its Services or you have all rights, licenses, consents and releases that are necessary to grant to GADP the rights in and to such Member Content, as contemplated under these Terms; and (ii) neither the Member Content nor your posting, uploading, publication, submission or transmittal of the Member Content or GADP’s use of the Member Content (or any portion thereof) as contemplated under these Terms will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

7.7 You will not post, upload, publish, submit or transmit any Member Content that: (i) is fraudulent, false, misleading (directly or by omission or failure to update information) or deceptive; (ii) is defamatory, libellous, obscene, pornographic, vulgar or offensive; (iii) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (iv) is violent or threatening or promotes violence or actions that are threatening to any other person or animal; (v) promotes illegal or harmful activities or substances; or (vi) violates GADP Guidelines and/or Policies. GADP may remove or disable access to any Member Content that is in violation of applicable law, these Terms or GADP’s Guidelines or Policies, or otherwise may be harmful or objectionable to GADP, its Members, third parties, or property. Where GADP removes or disables Member Content, GADP will notify a Member and provide the reasons for such a measure, unless such notification would (i) prevent or impede the detection or prevention of fraud or other illegal activities, (ii) harm the legitimate interests of other Members or third parties, or (ii) contravene applicable laws. You may appeal such a decision by contacting our Customer Services.

7.8 GADP respects copyright law and expects its Members to do the same. If you believe that any content on the GADP Website and Services infringes copyrights you own, please notify us.

 

8. Event Listings

8.1 As a Member, you may create an Event(s). When creating an Event through the GADP Website and Services, you must (i) provide complete and accurate information about your Event(s) (such as Event description, location, time, capacity and calendar availability), (ii) disclose any deficiencies, restrictions (such as food allergen information, religious and dietary restrictions) and requirements that apply (such as any age range, shared interests and background) and (iii) provide any other pertinent information requested by GADP (such as proportion of donation to charity, charity chosen, pricing). You are responsible for keeping your Event(s) information (including food allergen information, religious and dietary restrictions) up-to-date at all times.

8.2 In order to be featured in Event Listings via the Website and Services, all Events must have valid physical addresses. An advertisement poster will be created by the Website based on the information you provide in your Event Listing. The Poster and Event(s) (“Listings”) will be made publicly available via the Website and Services. Other Members will be able to book your Event via the Website and Services based upon the information provided in your Listings. You understand and agree that once a Guest requests a booking of your Event, you may not request the Guest to pay a higher price than in the booking request.

8.3 GADP reserves the right to require that Listings have a minimum number of pictures or animations (collectively, “Images”) of a certain format, size and resolution.

8.4 You agree and acknowledge that you alone are responsible for any and all Listings and Content you post. Accordingly, you represent that any Listing you post and the booking of, or a Guest’s attendance at, an Event in a Listing you post (i) will not breach any agreements you have entered into with any third parties, such as homeowners association, halls, lease or rental agreements, and (ii) will (a) be in compliance with all applicable laws (such as zoning laws and laws governing rentals of residential, commercial and other properties), Tax requirements, and rules and regulations that may apply to any Event included in a Listing you post (including having all required permits, licenses and registrations), and (b) not conflict with the rights of third parties. Please note that GADP assumes no responsibility for a Host’s compliance with any agreements with or duties to third parties, applicable laws, rules and regulations. GADP reserves the right, at any time and without prior notice, to remove or disable access to any Listing for any reason, including Listings that GADP, in its sole discretion, considers to be objectionable for any reason, in violation of these Terms, or otherwise harmful to the Website, or Services.

8.5 Hosts may have to register, get a permit or obtain a license before providing certain Host Events (such as preparing food or serving alcohol). Host are alone responsible for identifying and obtaining any required licenses, permits, or registrations for any Events they offer. Certain types of Event Listings (such as those not in compliance with the law) may be prohibited altogether. Penalties may include fines or other enforcement. If you have questions about how local laws apply to your Listing(s) and Host Events on GADP, you should always seek legal guidance.

8.6 As a Member, you understand and agree that GADP does not act as an insurer, your contracting agent or Food Safety Authority. If a Guest requests a booking of your Event and attends, any agreement you enter into with such Guest is between you and the Guest and GADP is not a party to it.

8.7 GADP recommends that Hosts obtain appropriate insurance for their Events. Please review any insurance policy that you may have for your home or location of event carefully, and in particular please make sure that you are familiar with and understand any exclusions to, and any deductibles that may apply for, such insurance policy, including, but not limited to, whether or not your insurance policy will cover the actions or inactions of Guests (and the individuals the Guests invites to the Event, if applicable) while at your home or location of event.

8.8 Hosts are solely responsible to determine the applicable taxes and are required to comply with the applicable tax law and pay any taxes including VAT or other withholding and personal or corporate income taxes imposed and levied in connection with bookings made, of their respective Events via GADP or the payment thereof and they represent and warrant that they will pay such taxes in time and in compliance with the applicable tax law. Note that failing to pay such taxes, as ordered by applicable tax law or to comply with any provisions the applicable tax law may prevent such Hosts from continuing publishing their Events on GADP.

8.9 The placement and ranking of Event Listings in search results on the GADP Website and Services may vary and depend on a variety of factors, such as User search parameters and preferences, Host requirements, price, Reviews and Feedback, and/ or ease of booking.

8.10 When you accept or have pre-approved a booking request by a Guest, you are entering into a legally binding agreement with the Guest and are required to provide your Host Service(s) to the Guest as described in your Listing when the booking request is made.

 

9. Co-Host

9.1 If you choose to Co-Host an Event on GADP, one of the Hosts (“Lead Host”) must be a registered and verified Member on the Website. Any agreement formed between the Lead Host and Co-Host is outside of those with GADP, and GADP is not liable in relation to any agreements that the Host and co-Host may have, these agreements may not conflict with GADP Terms, or any other Policies applicable to your Event.

9.2 Hosts should exercise due diligence and care when deciding who to Co-Host with. Registered Lead Hosts are responsible and liable for any and all Event Listings and Member Content published on GADP. Further, Lead Hosts remain responsible and liable for their own acts and omissions, including, but not limited to, conduct that causes harm or damage to the Co-Host(s). The Lead Host is wholly responsible and liable for third party claims, including Guest claims, arising from the acts and omissions of the other person as related to hosting activities, communications with Guests, and the provision of any Co-Host Events.

9.3 The Lead Host acknowledges that the Co-hosting relationship will terminate in the event that GADP (i) terminates the Co-Host Event or (ii) terminates the Co-Host’s participation in the Event. The Lead Host will remain responsible for all of the Co-Host’s actions prior to the Event, including the responsibility to fulfill any pending or future Events initiated prior to the termination.

9.4 A Co-Host will not be reviewed by Guests. Instead, the Lead Host of such Event(s) will be reviewed by Guests (including potentially on the basis of the Co-Host’s conduct and performance). Hosts acknowledge that Reviews and Ratings from Guests for their Event(s) may be impacted by a Co-Host’s conduct and performance.

 

10. Bookings

10.1 You should carefully review the description and details of any Event Listing you intend to book, to ensure you (and any additional guests you are booking for) meet any minimum age or other requirements which the Host has specified in their Event Listing. At your sole discretion you may want to inform the Host of any medical or physical conditions, or other circumstances that may impact your and any additional guest’s ability to participate/ attend any Event. In addition, certain laws, like the minimum legal drinking age in the location of the Event may also apply. You are responsible for identifying, understanding, and complying with all laws, rules and regulations that apply to your attending an Event.

10.2 Before and during an Event you must at all times adhere to the Hosts’ instructions.

10.3 Subject to meeting any requirements (such as completing any verification processes) set by GADP and/ or the Host, you can book ticket(s) to an Event available on the GADP Website and Services by following the respective booking process. The Host sets the Event Ticket Price, chooses the Charity and the Charity’s portion of the Ticket Price. The Host’s portion plus the Host-specified Charity’s portion of the Ticket Price (“Ticket Price”), Booking Fee and any applicable Taxes (collectively, “Total Ticket Price”) will be presented to you prior to booking ticket(s) to an Event. You agree to pay the Total Ticket Price for any booking requested in connection with your GADP Account.

10.4 Upon receipt of a booking confirmation from GADP, a legally binding agreement is formed between you and your Host, subject to any additional terms and conditions of the Host that apply, such as any rules and restrictions specified in the Event Listing. PayPal will collect the Total Ticket Price at the time of the booking request or upon the Host’s confirmation.

10.5 If you book ticket(s) on behalf of additional Guests, you are required to ensure that every additional Guest meets any requirements set by the Host, and is made aware of and agrees to these Terms and any terms and conditions, rules and restrictions set by the Host. You may not bring any additional individuals to an Event unless such an individual was added by you as an additional Guest during the booking process on the GADP Website and Services. If you are booking for an additional guest who is a minor, you represent and warrant that you are legally authorised to act on behalf of the minor. Minors may only attend an Event if accompanied by an adult who is responsible for them.

10.6 You agree to leave the Event location no later than the Event End time that the Host specifies in the Event Listing or such other time as mutually agreed upon between you and the Host. If you stay past the agreed upon Event End time without the Host’s consent, you no longer have a license to stay in the Event location and the Host is entitled to make you leave in a manner consistent with applicable law. 

10.7 A Guest may pay for attending an Event by using the PayPal service. The Ticket Price  charged from you will be kept faithfully by GADP and in compliance with any applicable law, and will only be transferred to the respective Host (if applicable) 3 working days following your attendance to the Booked Event, and provided that no cancellation notification was made by you before that day, and that no disputes have been raised by you. The Host-specified Charity’s portion of the Ticket Price will only be transferred to the respective Charity’s Account via BACS on the next scheduled processing date (“Scheduled Processing”). The Scheduled Processing for transferral of collected monies to the specific charities is performed on a weekly basis as a minimum.

10.8 The Hosts, not GADP, are solely responsible for honouring any confirmed bookings and making available any Events reserved through the Website and Services. If you, as a Guest, choose to enter into a transaction with a Host for the booking of an Event, you agree and understand that you will be required to enter into an agreement with the Host and you agree to accept any terms, conditions, rules and restrictions associated with such Event imposed by the Host. You acknowledge and agree that you, and not GADP, will be responsible for performing the obligations of any such agreements, that GADP is not a party to such agreements, and that, GADP disclaims all liability arising from or related to any such agreements. You acknowledge and agree that, notwithstanding the fact that GADP is not a party to the agreement between you and the Host, PayPal acts as the Host’s payment collection agent for the limited purpose of accepting payments from you on behalf of the Host. Upon your payment of the Total Ticket Price using PayPal, your payment obligation to the Charity and/ or Host is extinguished, and GADP is responsible for remitting the Ticket Price in the manner described in these Terms. In the event that GADP does not remit any such amounts as described in these Terms, such Host will have recourse only against such GADP entity.

10.9 In connection with your requested booking, you will be asked to provide customary billing information such as name, billing address and debit/ credit card information to PayPal. You agree to pay GADP for any confirmed bookings made in connection with your GADP Account in accordance with these Terms by PayPal. You hereby authorise the collection of such amounts by charging your PayPal Account. You will be directed to PayPal and will be subject to terms and conditions governing use of PayPal’s service and their personal information collection practices. Please review such terms and conditions and privacy policy before using the services. Once your confirmed booking process is complete, you will receive a confirmation email summarising your confirmed booking at an Event.

 

11. Booking Fee

11.1 In consideration for the use of GADP’s online platform, GADP charges Booking Fees. GADP deducts the Booking Fees and taxes or such like, where applicable, from the Total Ticket Price before remitting the balance to the Host-specified Charity and/ or Host as described in these Terms.

11.2 Balances will be remitted by GADP to Hosts via PayPal. Amounts may be rounded up or down. Except as otherwise provided herein, Booking Fees are non-refundable.

12. Cancellations and Refunds

12.1 Hosts and Guests are responsible for any modifications to a booking that they make via the Website or Services or direct GADP customer service to make, and agree to pay any additional Event Ticket Fees, Booking Fees and/ or Taxes associated with such Booking Modifications.

12.2 All bookings are subject to GADP’s cancellation policy as follows:

  • If a booking is cancelled 46 hours or more before the Event, the Host shall not be paid any amount and the Guest shall be eligible for a full refund.
  • If a booking is cancelled by the Guest less than 46 hours before the Event, the Guest shall not be entitled to any refund, credit or reimbursement. Both Host & Host’s chosen Charity will continue to benefit from that booking in the same way as though the booking had not been cancelled.

12.3 Guests can cancel a confirmed booking at any time pursuant to GADP’s cancellation policy. Your booking shall only be deemed cancelled upon receipt of GADP’s cancellation confirmation. GADP reserves the right to cancel a booking at any time upon refunding the Total Ticket Price. In such a case where the Host cancels a Guest’s booking to an Event, GADP will refund the Guest with the Total Ticket Price which the Guest has paid to GADP. GADP shall not bear any liability for any cost, expense, loss or damage that you may suffer or incur as a result of a Host’s or Guest’s cancellation of an Event or booking of an Event.

12.4 In certain circumstances, GADP may decide, in its sole discretion, that it is necessary or desirable to cancel a confirmed booking made via the Website and Services. This may be for reasons such as political unrest in the area, property damage, maintenance issues that affect the ability to host, death or serious illness, natural disaster in the country or for any other reason.

12.5 If GADP refunds a confirmed booking and/ or attended Event, and the Guest receives a refund in accordance with GADP’s cancellation and refunds policy after the Host and Host-specified charity has already been paid, GADP will be entitled to recover the amount of any such refund from the Host, including by subtracting such refund amount out from any future Payouts due to the Host.

 

13. Reviews and Feedback

13.1 Within a certain timeframe after the Event, Guests and Hosts can leave a public review (“Review”) and submit a star rating (“Feedback”) about each other. Reviews or Feedback reflect the opinions of individual Members and do not reflect the opinion of GADP. Reviews and Feedback are not verified by GADP for accuracy and may be incorrect or misleading.

13.2 Reviews and Feedback by Guests and Hosts must be accurate and may not contain any offensive or defamatory language. Reviews and Feedback are subject to Section 7 and must comply with GADP’s Guidelines of Use.

13.3 Members are prohibited from manipulating the Reviews and Feedback system in any manner, such as instructing a third party to write a positive or negative Review about another Member.

13.4 Reviews and Feedback are part of a Member’s public profile and may also be surfaced elsewhere on the Website and Services (such as the Event Listing page) together with other relevant information such as number of tickets sold, total raised for charity and other information.

 

14. Damage to Property and/ or Belongings

As a Guest, you are responsible for leaving the Property and/ or Belongings within the Event property in the condition it was in when you arrived. You acknowledge and agree that, as a Guest, you are responsible for your own acts and omissions and are also responsible for the acts and omissions of any individuals whom you invite to, or otherwise provide access to, the Event Property.

 

15. Privacy Policy

You agree that GADP’s Privacy Policy (as may be updated from time to time) governs GADP’s collection and use of your personal information.

 

16. Ownership

16.1 The Website and Services, and Collective Content are protected by copyright, trademark, and other laws of the United Kingdom and foreign countries. You acknowledge and agree that Website, Services and Collective Content, including all associated intellectual property rights, are the exclusive property of GADP. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Website, Services, or Collective Content.

16.2 All trademarks, service marks, logos, trade names and any other proprietary designations of GADP used herein are trademarks or registered trademarks of GADP.

16.3 Unless expressly permitted in the Terms, you may not copy, distribute, display, execute publicly, make available to the public, reduce to human readable form, decompile, disassemble, adapt, sub-license, make any commercial use, sell, rent, lend, process, compile, reverse engineer, combine with other software, translate, modify or create derivative works of any material that is subject to GADP’s proprietary rights, including the Service’s Intellectual Property, either by yourself or by anyone on your behalf, in any way or by any means.

 

17. Links

The Website and Services may contain links to third party websites (“Third Party Sites”), whether such links have been suggested by GADP or shared by any. You hereby acknowledge that GADP has no control over such Third Party Sites, and you further acknowledge and agree that GADP is not responsible for the availability of Third Party Sites, and does not endorse and is not responsible or liable for any services, content, advertisements, products, or any materials available on such Third Party Sites. You further acknowledge and agree that GADP shall not be responsible or liable, directly or indirectly, for any damage or loss whatsoever caused, or alleged to be caused, by or in connection with use of or reliance on any services, content, products or other materials available on or through any Third Party Sites. Most Third Party Sites provide legal documents, including terms of use and privacy policy, governing the use of such sites. It is recommended to read such documents carefully before using those sites.

 

18. Conduct of User

18.1 You understand and agree that you are solely responsible for compliance with any and all laws, rules, regulations, and Tax obligations that may apply to your use of the Website, Services and Collective Content. In connection with your use of the Website, Services and Collective Content, you may not and you agree that you will not, and will not assist or enable others to, including anyone that you are responsible for:

  • violate any local, state, national, or other law or regulation, or any order of a court, including, without limitation, property restrictions and Tax regulations;
  • use the Website and Services for any illegal, unlawful or unauthorised purposes;
  • breach or circumvent any agreements with third-parties, third-party rights, or our Terms, Policies and Standards;
  • use manual or automated software, devices, scripts, robots, backdoors or other means or processes to access, “scrape,” “crawl” or “spider” any web pages or other services contained in the Website, Services or Collective Content;
  • attempt to probe, scan, or test the vulnerability of GADP’s system or network or breach any security or authentication measures;
  • systematically retrieve data or other content from our Website or Services to create or compile, directly or indirectly, in single or multiple downloads, a collection, compilation, database, directory or the like, whether by manual methods, through the use of bots, crawlers, or spiders, or otherwise;
  • use the Website, Services or Collective Content for any commercial or other purposes that are not expressly permitted by these Terms;
  • copy, store or otherwise access or use any information, including personally identifiable information about any other Member contained on the Website, Services or Collective Content for purposes not expressly permitted by these Terms or that otherwise violates the privacy rights of Members or third parties;
  • interfere with or damage our Website or Services, including, without limitation, through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-service attacks, backdoors, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology;
  • use our Website, Services or Collective Content in connection with the distribution of unsolicited commercial email (“spam”) or advertisements;
  • “stalk” or harass any other user of our Website, Services or Collective Content, or collect or store any personally identifiable information about any other user other than for purposes of transacting as a GADP Guest or Host;
  • use automated scripts to collect information from or otherwise interact with the Website, Services or Collective Content;
  • recruit or otherwise solicit any Host or other Member to join third-party services or websites that are competitive to GADP, without GADP’s prior written approval;
  • offer, as a Host, any Event Location that you do not yourself own or have permission to make available as an Event Location through the GADP Website and Services;
  • register for more than one GADP Account or register for a GADP Account on behalf of an individual other than yourself;
  • unless GADP explicitly permits otherwise, book any Event if you will not actually be attending the Event yourself;
  • impersonate any person or entity, or falsify or otherwise misrepresent yourself or your affiliation with any person or entity;
  • discriminate against or harass anyone on the basis of race, national origin, religion, gender, gender identity, physical or mental disability, medical condition, marital status, age or sexual orientation, or otherwise engage in any violent, harmful, abusive or disruptive behaviour;
  • use the Website, Services or Collective Content to find a Host or Guest and then complete a booking of an Event independent of the Website or Services, in order to circumvent the obligation to pay the Total Ticket Price related to GADP’s provision of the Services or for any other reasons;
  • accept or make a payment for Event Total Ticket Price outside GADP. If you do so, you acknowledge and agree that you: (i) would be in breach of these Terms; (ii) accept all risks and responsibility for such payment, and (iii) hold GADP harmless from any liability for such payment.
  • as a Host, submit any Listing with false or misleading price and/ or Event information, or submit any Listing with a price and/ or Event details that you do not intend to honour;
  • use, display, mirror or frame the Website and Services or Collective Content, or any individual element within the GADP Website and Services, GADP’s name, any GADP trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page in the Website and Services, without GADP’s express written consent;
  • dilute, tarnish or otherwise harm the GADP brand in any way, including through unauthorised use of Collective Content, registering and/ or using GADP or derivative terms in domain names, trade names, trademarks or other source identifiers, or registering and/ or using domains names, trade names, trademarks or other source identifiers that closely imitate or are confusingly similar to GADP domains, trademarks, taglines, promotional campaigns or Collective Content;
  • post, upload, publish, submit or transmit any Content that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any other person; or (vii) promotes illegal or harmful activities or substances;
  • violate or infringe anyone else’s rights or otherwise cause harm to anyone.

18.2 GADP has the right to investigate and prosecute violations of any of the above to the fullest extent of the law.

18.3 You acknowledge that GADP has no obligation to monitor the access to or use of the Website and Services by any Member or to review, disable access to, or edit any Member Content, but has the right to do so to (i) operate, secure and improve the Website and Services (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure Members’ compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; (iv) respond to Member Content that it determines is harmful or objectionable; or (v) as otherwise set forth in these Terms. Members agree to cooperate with and assist GADP in good faith, and to provide GADP with such information and take such actions as may be reasonably requested by GADP with respect to any investigation undertaken by GADP or a representative of GADP regarding the use or abuse of the Website and Services.

18.4 If you feel that any Member you interact with, whether online or in person, is acting or has acted inappropriately, including but not limited to anyone who (i) engages in offensive, violent or sexually inappropriate behaviour, (ii) you suspect of stealing from you, or (iii) engages in any other disturbing conduct, you should immediately report such person to the appropriate authorities and then to GADP by contacting us with your police station and report number (if available). You agree that any report you make will not obligate us to take any action (beyond that required by law, if any).

 

19. Agreement Terms, Termination, Suspension and Other Measures

19.1 This Agreement shall be effective for a thirty (30) calendar day term, at the end of which it will automatically and continuously renew for subsequent 30 calendar day terms until such time when you or GADP terminates the Agreement in accordance with this provision.

19.2 You may terminate this Agreement at any time by sending us an email. If you cancel your GADP Account as a Host, any confirmed booking(s) will be automatically cancelled and your Guests will receive a full refund. If you cancel your GADP Account as a Guest, any confirmed booking(s) will be automatically cancelled and any refund will depend upon the GADP’s cancellation policy terms.

19.3 Without limiting our rights specified below, GADP may terminate this Agreement for convenience at any time by giving you thirty (30) calendar days’ notice via email to your registered email address.

19.4 GADP may immediately, without notice, terminate this Agreement and/ or stop providing access to the Website and Services if (i) you have materially breached your obligations under these Terms, our Policies or Guidelines, (ii) you have violated applicable laws, regulations or third party rights, or (iii) GADP believes in good faith that such action is reasonably necessary to protect the personal safety or property of GADP, its Members, or third parties (for example in the case of fraudulent behaviour of a Member).

19.5 In addition, GADP may take any of the following measures (i) to comply with applicable law, or the order or request of a court, law enforcement or other administrative agency or governmental body, or if (ii) you have breached these Terms, our Policies or Guidelines, applicable laws, regulations, or third party rights, (iii) you have provided inaccurate, fraudulent, outdated or incomplete information during the GADP Account registration, Event Listing process or thereafter, (iv) you and/ or your Events at any time fail to meet any applicable quality or eligibility criteria, (v) you have repeatedly received poor Reviews and/ or Feedback or GADP otherwise becomes aware of or has received complaints about your performance or conduct, (vi) you have repeatedly cancelled confirmed bookings or failed to respond to booking requests without a valid reason, or (vii) GADP believes in good faith that such action is reasonably necessary to protect the personal safety or property of GADP, its Members, or third parties, or to prevent fraud or other illegal activity:

  • refuse to surface, delete or delay any Event Listings, Reviews, Feedback or other Member Content;
  • cancel any pending or confirmed bookings;
  • limit your access to or use of the Website and Services;
  • temporarily or permanently revoke any special status associated with your GADP Account;
  • temporarily or in case of severe or repeated offenses permanently suspend your GADP Account and stop providing access to the Website and Services.

In case of non-material breaches and where appropriate, you will be given notice of any intended measure by GADP and an opportunity to resolve the issue to GADP’s reasonable satisfaction.

19.6 If we take any of the measures described above (i) we may refund your Guests in full for any and all confirmed bookings that have been cancelled, irrespective of pre-existing cancellation policies, and (ii) you will not be entitled to any compensation for pending or confirmed bookings that were cancelled.

19.7 When this Agreement has been terminated, you are not entitled to a restoration of your GADP Account or any of your Member Content. If your access to or use of the Website and Services has been limited or your GADP Account has been suspended or this Agreement has been terminated by us, you may not register a new GADP Account or access and use the Website and Services through the GADP Account of another Member.

19.8 Sections 7 and 20 to 24 of these Terms shall survive any termination or expiration of this Agreement.

 

20. Disclaimers

If you choose to use the Website and Services or Collective Content, you do so voluntarily and at your sole risk. The Website and Services and Collective Content is provided “as is”, without warranty of any kind, either express or implied.

You agree that you have had whatever opportunity you deem necessary to investigate the GADP Services, laws, rules, or regulations that may be applicable to your Events you are receiving and that you are not relying upon any statement of law or fact made by GADP relating to an Event.

If we choose to conduct identity verification or background checks on any Member, to the extent permitted by applicable law, we disclaim warranties of any kind, either express or implied, that such checks will identify prior misconduct by a Member or guarantee that a Member will not engage in misconduct in the future.

You agree that some Events may carry inherent risk, and by participating in such services, you choose to assume those risks voluntarily. For example, some Events may carry risk of illness, bodily injury, disability, or death, and you freely and wilfully assume those risks by choosing to participate in those Events. You assume full responsibility for the choices you make before, during and after your participation in an Event. If you are bringing a minor as an additional guest, you are solely responsible for the supervision of that minor throughout the duration of the Event and to the maximum extent permitted by law, you agree to release and hold harmless GADP from all liabilities and claims that arise in any way from any injury, death, loss or harm that occurs to that minor during the Event or in any way related to your Event.

The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights. However, the duration of statutorily required warranties, if any, shall be limited to the maximum extent permitted by law.

 

21. Limitation of Liability

The use of GADP and participation in any Event is solely at your own risk. Except as provided herein, in no event shall GADP be liable for any damages whatsoever including, but not limited to, indirect, special, incidental or consequential damages of any kind, whether in an action of contract, negligence or other tortious actions resulting from or arising out of GADP or any Event, or the use or inability to use GADP, regardless of whether GADP or an authorised representative of GADP has been advised of the possibility of such damages. Except where liability is mandatory, in which Event liability for damages shall be limited to your Total Ticket Price.

In no event will GADP’s aggregate liability arising out of or in connection with these terms and your use of the Website and Services including, but not limited to, from your Event or Booking of any Event via the Website and Services, in connection with any Event or interactions with any other Members, exceed the amounts you have paid or owe for bookings via the Website and Services as a Guest in the six (6) month period prior to the Event giving rise to the liability, or if you are a Host, the amounts paid by GADP to you in the six (6) month period prior to the Event giving rise to the liability, or one hundred British Pounds (GBP£100), if no such payments have been made, as applicable. The limitations of damages set forth above are fundamental elements of the basis of the bargain between GADP and you.

 

22. Indemnification

To the maximum extent permissible by law, you agree to defend, indemnify and hold harmless GADP, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to lawyer’s fees) arising from: (i) your violation of any term of these Terms; (ii) your use of GADP; (iii) your violation of any third party rights, including without limitation any intellectual property rights or privacy right of such third party; and (iv) any damage of any sort, whether direct, indirect, special or consequential, you may cause to any third party with relation to GADP. It is hereby clarified that this defence and indemnification obligation will survive these Terms.

 

23. Feedback

We welcome and encourage you to provide feedback, comments and suggestions for improvements to the Website and Services (“Feedback“). You may submit Feedback by emailing us, or by other means of communication. Any Feedback you submit to us will be considered non-confidential and non-proprietary to you. By submitting Feedback to us, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use and publish those ideas and materials for any purpose, without compensation to you.

 

24. General

24.1 Except as they may be supplemented by additional terms and conditions, policies, guidelines or standards, these Terms constitute the entire Agreement between GADP and you pertaining to the subject matter hereof, and supersede any and all prior oral or written understandings or agreements between GADP and you in relation to the access to and use of the Website and Services.

24.2 No joint venture, partnership, employment, or agency relationship exists between you and GADP as a result of this Agreement or your use of the Website and Services.

24.3 These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties.

24.4 If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

24.5 GADP’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.

24.6 You may not assign, transfer or delegate this Agreement and your rights and obligations hereunder without GADP’s prior written consent. GADP may without restriction assign, transfer or delegate this Agreement and any rights and obligations hereunder, at its sole discretion, with thirty (30) days prior notice. Your right to terminate this Agreement at any time remains unaffected.

24.7 Unless specified otherwise, any notices or other communications to Members permitted or required under this Agreement, will be provided electronically and given by GADP via email, Website and Services notification, or messaging service (including SMS and Whatsapp).
